AAR CORP. Completes Sale of Senior Unsecured Notes
WOOD DALE, ILLINOIS — AAR CORP. (NYSE: AIR) announced today that it completed the previously announced sale of $175,000,000 of its 7.25% senior unsecured notes due 2022 (the “Notes”). The Notes were sold at a price equal to 98.268% of the principal amount thereof, for a yield to maturity of 7.50%. The Notes are senior obligations of AAR CORP. (the “Company”) and are guaranteed by the Company’s existing domestic subsidiaries.
The Company will use the proceeds of the offering to repay a portion of the borrowings incurred under its revolving credit agreement to purchase Telair International and Nordisk Aviation on December 2, 2011 and to pay fees and expenses of the offering.
The Notes and the related guarantees were sold in a private placement in reliance on Rule 144A and Regulation S under the Securities Act of 1933, as amended (the “Securities Act”). The Notes and related guarantees have not been registered under the Securities Act or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
